What we are we looking for: The Associate will provide administrative and legal support to IRE Funds and their Luxembourg subsidiaries as well as to separate Luxembourgish real estate structures. Other responsibilities include:
  • Provision of administrative support to fund teams: in charge of the day-to-day management of complex real estate companies (fund, property and holding companies);
  • Providing guidance and help on setting up Luxembourgish Fund structures to the fund teams
  • Being main point of contact for colleagues for advice and explanations on Luxembourg corporate law matters and other legal fund related matter
  • Preparation of meeting agendas and board packs, convene, attend & minute meetings where necessary, advised the board on corporate secretarial and governance matters during the board meeting, prepare minutes, co-ordinate execution of legal documents, tracking and tracing of documents (legalization, apostille, review signature verification) etc.
  • Maintaining proper legal records and files; maintaining good corporate governance and oversight of the work provided by third party service providers and/ or more junior team members.
  • Statutory & Regulatory Compliance: maintain the required statutory registers and ensure timely filing of accounts and tax returns.
  • Ensuring that statutory and other information contained on the Secretariat database is accurate and up to date
  • Overseeing the work of the custodians
  • Supporting the Transaction team with acquisition & disposal of assets: providing guidance and help during the due diligence phase until the deal has been closed, discuss and provide information and documentation needed to progress with the transaction, incorporation of new companies and liquidation of old companies, organizing execution of closing documents, liaising with third parties and fund teams to ensure on time and proper completion.
  • Liaising with the accounting department to ensure that legal documentation is in line with accounting entries.
  • Liaising with the functional teams in Munich and London when required
What you can bring: We will look for you to bring experience in a similar role and ideally within a legal department or company secretariat in a management company, service provider in the fund administration sector or similar. A good knowledge of real estate investment fund structures with knowledge of the requirements relating to the administration of funds or companies is key along with an understanding of Luxembourg corporate law and that of other jurisdictions. The Associate will bring excellent written and verbal communication skills and the ability to self motivate and work to deadlines. A confident can-do attitude with a team oriented personality and the willingness to learn and innovate.
